Cumulus Community Shared Governance Establishment

Call to Order
Matthew Turner called the meeting to order for the purpose of establishing the initial governance structure of the Cumulus Community and recording corresponding governance actions for the organizations it presently serves.
Cumulus Community Resolution
It is hereby resolved that the Cumulus Community shall serve as the shared leadership community for its affiliated organizations.
During the initial phase of development, the Cumulus Community hereby establishes a three-member leadership task force drawn from its Board to actively guide the managed co-evolution of its affiliated organizations.
This task force shall serve as the Board of Directors of Generation of Participation in Democracy (GPD) and provide strategic governance for SubtleTea Solutions (STS), consistent with the governing documents and legal status of each organization.
The task force is constituted as a temporary structure to coordinate alignment, learning, and execution across entities, and shall be adjusted, expanded, or dissolved as needed once the mission of this phase is complete, with planning for the next phase expected to begin as the shape of the solution becomes clear.
The resolution was adopted.
Cumulus Community Resolution: Financial Separation
The Board recognizes the importance of maintaining appropriate financial separation between its affiliated organizations.
During the initial phase of development, the Board shall establish policies governing financial interactions between Generation of Participation in Democracy (GPD) and SubtleTea Solutions (STS) to ensure transparency, legal compliance, mission alignment, and appropriate organizational independence.
Until such policies are adopted, all financial interactions between affiliated organizations shall be undertaken cautiously and documented in a manner consistent with these principles.
The resolution was adopted.
Cumulus Community Resolution: Appointment of Secretary
Matthew Turner appointed Dr. Izabela Mauricio de Rezende to serve as Secretary of the Board of Directors of the Cumulus Community, effective immediately, to serve until her resignation, removal, or the appointment of a successor.
The resolution was adopted.
GPD Board Resolution
The meeting further records that the initial members of the Cumulus Community Board shall serve as the Board of Directors of Generation of Participation in Democracy (GPD), consistent with the corporation’s governing documents.
The resolution was adopted.
STS Governance Resolution
As sole owner of SubtleTea Solutions (STS), Matthew Turner confirmed that, during the organization’s initial phase of development, STS shall receive strategic governance from the members of the Cumulus Community Board.
The resolution was adopted.

There being no further business, the meeting was adjourned.
